Our practice seeks to provide solutions to meet the specific needs of our customers through the design and implementation of innovative structures. Our lawyers have a thorough knowledge of the rules and practices of the financial system and capital markets. We work in a multidisciplinary manner, along with lawyers from different practice areas of the firm to achieve the greatest added value for the client.

The services we provide can be divided into three main areas: financial services, capital markets and regulatory advice.

Financial Services

We have broad experience in the design and implementation of complex structured financing and project finance, having handled transactions in Argentina and abroad.

We advise financial institutions, official credit agencies and companies in diverse sectors such as beverages, pulp and paper, automobile and spare parts manufacturers, construction, energy, oil and gas and their derivatives, dairy, medicines, media communication, retail and telecommunications, seeking in each case an in depth understanding of each client’s commercial needs and the regulatory restrictions on their activities. We advise companies on the issuance of preferred stock with sophisticated financial conditions also.

We have acted in numerous derivative transactions, including negotiations of ISDA contracts in the local market, recommendations to alleviate the risk of insolvency and drafting legal opinions on derivative issues.

Our work includes advice on loan contracts, in its different modalities, as well as in the constitution of all guarantees associated with such financing. Also in the issuance of preferred shares with sophisticated financial aspects.

Capital Markets

We handle capital and debt issues in Argentina and abroad, corporate reorganization procedures through capital markets (including stock market launch (IPO), company mergers and de-mergers) and in public share swap offers and minority investor by-outs.

We advise banks and companies in the securitization of their assets in various industries and investors and foreign funds in the constitution of local mutual funds, both in the corporate and government aspects and in regulatory matters before the National Securities Commission and other organisms.

Our role includes initial advice at the design stage of a transaction, the negotiation of commercial terms and conditions and filings before the competent regulatory bodies.

Regulatory Advice

Our practice is characterized by a thorough knowledge of the regulatory aspects related to standards that affect financial markets, including banking and capital markets and the prevention of money laundering and terrorist financing. We actively advise in defense against summary proceedings carried out by the Central Bank of the Republic of Argentina, the National Securities Commission and the various markets and the Financial Information Unit.

We also work on issues of compliance in financial matters, such as the drafting of manuals and internal policies on money laundering issues and training.
