Bomchil’s Corporate department offers advice on the widest range of legal issues for today’s corporate client, in particular for complex corporate disputes, negotiations on mergers and company acquisitions and on the laws applicable to issues relating to the day-to-day operation of the modern company.

Of particular note is our advice on company incorporation, negotiating shareholder agreements and share syndication covenants, advice to company directors, audit committees and fiscal commissions, in the preparation and handling of shareholder meetings, mergers and de-mergers, and in corporate dissolutions and liquidations.

The diversity of our firm’s clients has allowed us to concentrate on both the theoretical and practical aspects of the various types of corporate structure.  We not only provide advice to joint stock companies, but also to limited liability companies, limited share capital partnerships, civil corporations and associations, foundations, corporate joint ventures and on cooperation agreements.

Our department’s attorneys maintain day-to-day contact with officials of various entities in charge of comptroller or corporate issues, such as the Supervisory Board of Companies, the Securities Exchange Commission and the Central Bank of the Republic of Argentina.  This allows for an in depth knowledge of the administrative procedures of each one of these entities and of the challenges normally faced in any procedure.

Particular mention should be made of foreign companies wishing to participate in domestic companies or to establish a local branch.  The department has successfully represented the interests of these foreign companies on different questions that have arisen in recent years as a consequence of new regulations adopted both at the administrative as well as the judicial level.
